Common questions answered

Capservices Limited is authorised by the Malta Financial Services Authority as a Class C Company Service Provider. A Class C CSP may, subject to the scope and conditions of its authorisation, provide the company services specified in the Company Service Providers Act. These include the formation of companies or other legal entities; acting as, or arranging for another person to act as, a director, company secretary, partner or similar officer; and providing a registered office, business correspondence or administrative address and related services. Each engagement remains subject to client acceptance, customer due diligence and a written agreement setting out the services to be provided.

Effective governance supports informed decision-making, appropriate oversight, accountability and compliance with applicable obligations. Governance arrangements should be proportionate to the company’s nature, scale and activities. Weak governance may increase the risk of regulatory breaches, penalties, reputational damage or loss of good standing. The company’s directors and officers remain responsible for discharging the duties attached to their respective roles.

Subject to client acceptance and a written engagement, Capservices may provide company formation, registered office, company secretarial, corporate administration, directorship and agreed book-keeping and financial administration services. Where Capservices arranges for a natural person to act as director or company secretary, that person must be an eligible officer or employee of Capservices and the appointment will be subject to appropriate fitness, conflicts, capacity and time commitment assessments. The precise scope of the services and the respective responsibilities of Capservices, the client and the company’s officers will be recorded in the engagement agreement.
